100% DIVESTMENT OF TRANSCORP HOTELS CALABAR LIMITED TO ECO TRAVELS AND TOURS LIMITED

Transcorp Hotels Plc is a leading hospitality company in Nigeria known for its luxurious hotels (including Transcorp Hilton Abuja) which positions the Company as one of the largest hotels in Sub-Saharan Africa, providing approximately 800+ rooms and a wide range of top-notch facilities and services. Transcorp Hotels Plc, together with Dupe Olusola (both, the Sellers), own 100% of the shares of Transcorp Hotels Calabar Limited (the Company). The Sellers, who are the shareholders of the Hotel, have made the strategic decision to divest their interest in the Company and have invited a select group of potential buyers to express interest in acquiring the entire shares of the Company ("the Transaction"). The iconic Transcorp Hotels Calabar, situated in Calabar, Cross River State, Nigeria, is the focal point of this transaction. It's important to note that all existing brand and intellectual property of the Hotel are excluded from the Transaction and will continue to be owned by the Sellers.
